Working and Starting a Corporation in Costa Rica

Work, work, work! It is always on our minds.  Costa Rica is a virtual paradise and this includes the permitting of foreigners to work in the country. Obviously as a foreigner we can’t work at a grocery store or a bank, but what you can do is start a corporation.  If you have a certain skill and would like to charge for your services, you can setup a corporation in which your clients can pay for the services received. This, of course, is perfectly legal.

There are two main types of Costa Rican corporations: an Anonymous Society and a Limited Corporation. An Anonymous Society or S.A. in general is used starting a large business, like importing and selling cars. Starting an S.A. requires at least 3 persons; a President, Secretary and a Treasurer.  You can have up to four people including one being the auditor. On top of this you must have two share holders; your share holders can be any of the four.

The other type of corporation is a Limited Corporation, an S.R.L. This kind of corporation is better suited for mom and pop shops or for those working out of the home. The benefit of an S.R.L. is that you only need two people in order to start.  There may also be some tax benefits, depending on your country of origin. One benefit of having a corporation, whether it be an S.A. or an S.R.L. is that if your purchases are made under a corporation and you have a separate corporation for work this provide security in the event of being sued.
